协议编号：ContractNo.:销售协议SalesContract甲方PartyA：PartyA:乙方PartyB：PartyB:甲乙双方根据《中华人民共和国协议法》及有关法律规定，就如下设备销售事宜，经协商一致，签订本协议：ThisContract,regardingtheequipmentsaellinghereunder,hasbeenmutuallyagreedbyPartyAandPartyBthroughamicableconsultationsinaccordancewithContractLawofthePeople’sRepublicofChinaandpertinentlawsandregulations.一、设备与货款EquipmentandFund[二、]Ⅰ.EquipmentandFund品名(主机/周围)Name(HostMainbody/Peripheral)OptionalParts)型号Model数量Quantity首期款ThefirstphasefundDownpayment每期金额Amountofeachphase最终一期金额Amountoffinalphase合计Total0.000.000.00上述设备合计人民币(下同)佰拾万仟佰拾元整(含税)。Thetotalamountofabove-mentionedequipmentis(similarlyhereinafter)ThousandhundredRMBYuanOnly(includingetax).二、[三、]交货三、[四、]Ⅱ.Delivery乙方应于年月日前，负责将设备送至甲方指定地址，并完毕安装调试。除有质量问题外，甲方不得拒收或规定退换。甲方验收完毕后，应于乙方提供的[出货/验收单]上盖章签字。PartyBshoulddeliversendtheequipmenttothedesignatedaddresslocationofPartyAbeforemonthdayyear(Date)andbeinchargeofcompletingtheinstallationandadjustmentdebugging.InadditiontoExceptforqualityproblemsdefect,PartyAshallnotrefuseacceptanceorrequestreplacementoftheequipment.AfterUponacceptance,PartyAshallsealandsignthe[Delivery/AcceptanceOrder]furnishedbyPartyB.四、[五、]付款五、[六、]Ⅲ.Payment1.货款分为期，以每月为一期，甲方应于约定付款日(每月日)前支付乙方，其中首期款于发票开立后近来的约定付款日前支付。1.Thefundisdividedintophases,eachmonthasaphase,PartyAshallpaytoPartyBbeforetheagreeddateofpayment(thedayofeverymonth),inwhichthefirstphasefunddownpaymentispaidbeforethemostrecentagreeddateofpaymentafterinvoicingdate.2.付款方式：，开户名：开户行：账号：。2.BasisMeanofpayment:;Accountname:;Bankofdeposit:;AccountNo.:3.甲方逾期付款时，每逾期一日，应按拖欠金额的万分之五向乙方支付滞纳金。3.AnydelayofPartyAinduepaymentshallincurapenaltypaidtoPartyBat0.05%oftheamountinarreardaybyday.六、[七、]违约责任七、[八、]Ⅳ.Liabilityforbreachofcontract1.甲方就设备服务未与乙方同步签订计张服务协议的，甲方应于乙方告知后五日内一次付清所有货款，并赔偿货款总额20%的违约金。1.IfPartyAhasn’tsignedPerSheetsServicecContractofsheetcountontheequipmentatthesametime,PartyAshouldpayoffallmoneyfundsatoncewithinfivedaysnotifiedbyPartyB,andcompensates20%oftotalamountasliquidateddamages.2.因可归责甲方的事由，致乙方无法依约定交货时，甲方应赔偿乙方产生的来回运费、额外仓储费用等实际损失。2.BecauseoftheattributivesubjectofPartyA,whichmakesIfPartyBfailtodelivertheequipmentinaccordancewiththeagreedcontractduetofaultsascribedtoPartyA,PartyAshouldcompensateactuallosses,suchasarisinground-tripfreightandextrastorageexpensetoPartyB.3.甲方违反本协议约定的，乙方有权解除协议并取回设备及没收甲方已付货款作为违约金。3.IfPartyAviolatesthecontract,PartyBisentitledtoterminatethecontractandrecovertheequipmentaswellasconfiscatethefundsmoneypaidbyPartyAasliquidateddamages.4.乙方违反本协议约定的，甲方有权解除协议及规定乙方返还已付货款作为违约金。4.IfPartyBviolatesthecontract,PartyAisentitledtoterminatethecontractandrequestPartyBtoreturnpaidfundsmoneyasliquidateddamages.八、[九、]争议处理九、[十、]Ⅴ.DisputeSettlement因本协议产生争议，由甲乙双方协商处理，协商不成，任何一方均可向有管辖权的人民法院提起诉讼处理。AnydisputearisingoutoftheContractshallbenegotiatedbybothPartiesforsettlement....
