摘要摘要内部人控制指的是企业用于经营管理的控制权掌握在内部管理层手中，这种状况会导致大股东利益受到侵害，从而引发企业内部管理层和股东之间控制权争夺战，这种现象在现代企业，尤其是国有企业中是普遍存在的。尽管内部人控制曾经对我国国有公司的发展起到过推动效果，但国有公司的监督机制薄弱，当内部人掌握的权力过重时就不易受到制约，出现内部人控制问题。2011年11月，上海国资委以51亿元的价格将所持上海家化全部股权出让给中国平安，上海家化第一大控股股东易主。而在上海家化与中国平安合作仅一年后，双方在企业发展理念上就出现了严重分歧，由此展开了控制权争夺战。本文以上海家化控制权的转移及争夺事件发生的时间线为序列进行整体梳理，挖掘该事件发生中所存在的内部人控制问题。首先，先对相关主体进行介绍，即上海家化与中国平安，将并购原因、过程及控制权争夺过程进行论述；其次，对上海家化出现的内部人控制问题和控制权争夺原因进行详细剖析；而后，从四个关键的时间点为范围，即控制权转移前后和控制权争夺前后，对控制权争夺给上海家化带来的经济后果进行数据分析，主要包括市场绩效和财务绩效，探究事件发生对企业价值、经营状况等方面产生的影响；接着，根据分析及研究提出内部人控制问题的解决措施，最后再提出均衡物质资本与人力资本的政策性建议。“内部人控制”与控制权争夺的发生息息相关，在公司治理模块中是不容忽视的一部分，它不单单与企业内部权力分配与制约相关，甚至还关系一个企业今后运营发展的方向和命运。所以说，深度剖析“内部人控制”与控制权争夺是至关重要的。关键词：国企改革；控制权争夺；内部人控制AbstractABSTRACTInsiderscontrolreferstothecontroloftheenterprise'soperationandmanagementinthehandsoftheinternalmanagement.Thissituationwillleadtotheinfringementoftheinterestsofthemajorshareholders,whichwillleadtothestruggleforcontrolbetweentheinternalmanagementandshareholders.Thisphenomenoniscommoninmodernenterprises,especiallyinstate-ownedenterprises.Althoughtheinsidercontrolhasplayedaroleinpromotingthedevelopmentofstate-ownedcompaniesinChina,thesupervisionmechanismofstate-ownedcompaniesisweak,anditisnoteasytoberestrictedwhentheinsiderhastoomuchpower,andtheproblemofinsidercontrolappears.InNovember2011,ShanghaiState-ownedAssetsSupervisionandAdministrationCommission(SASAC)transferredalltheequityheldinShanghaiJahwatoPingAnofChinaatapriceof5.1billionyuan,andthelargestcontrollingshareholderofShanghaiJahwachangedownership.ButonlyayearafterShanghaiJahwaandPingAncooperated,thetwosideshadaseriousdisagreementoverthedevelopmentphilosophyofthecompany,whichledtoabattleforcontrol.ThispapertakesthetimelineofthetransferofcontrolrightsandthecontentionofShanghaiJahwaasthesequencetocarryoutanoverallcombing,andexcavatestheproblemsofinsidercontrolintheoccurrenceofthisevent.Firstly,relevantsubjects,namelyShanghaiJahwaandPingAnofChina,areintroduced,andthereasons,processandcontrolcontrolstruggleprocessarediscussed.Secondly,theinternalcontrolproblemandthereasonsforthecontrolrightstruggleinShanghaiJahwaareanalyzedindetail.Then,fromthescopeoffourkeytimepoints,thatis,beforeandafterthetransferofcontrolpowerandbeforeandafterthestruggleforcontrolpower,theeconomicconsequencesbroughtbythestruggleforcontrolpowertoShanghaiJahwawereanalyzed,mainlyincludingmarketperformanceandfinancialperformance,andtheimpactoftheeventonenterprisevalueandoperatingconditionswasexplored.Then,accordingtotheanalysisandresearch,itputsforwardthemeasurestosolvetheproblemofinsidercontrol,andfinallyputsforwardthepolicysuggestionstobalancethematerialcapitalandhumancapital.The"insidercontrol"iscloselyrelate...
