I上市公司股权激励存在的问题与对策摘 要股权激励这一制度的产生是为了解决公司利益与管理者之间的矛盾,激励和留住公司的核心人才,通过赋予激励对象与公司股票相关的部分权益达到激励的目的。目前国内外使用股权激励的公司越来越多,可以研究的案例也很多,本文运用股权激励相关的三个理论:委托代理理论、人力资本理论与激励理论,对华为公司与伊利集团的背景、激励模式、效果、问题分别进行分析,通过一家非上市公司来与一家上市公司进行对比,探究非上市公司和上市公司的股权激励制度存在的一些问题,学习非上市公司设置股权激励制度的成功经验,为我国上市公司股权激励提供借鉴,构思符合上市公司情况的股权激励模式。关键词:股权激励;委托代理理论;员工持股计划;人力资本理论IIProblems and countermeasures of equity incentive in listed companiesAbstractThe system of equity incentive is to solve the contradiction between the interests of the company and the managers, to motivate and retain the core talents of the company, and to achieve the purpose of incentive by giving the incentive objects partial equity related to the company's stock.
