I上市公司公司治理机制研究——基于佛山照明的案例分析摘 要由于我国上市公司治理水平普遍较低，而且在治理机制方面依然存在很多缺陷，因此我国上市公司存在着大量侵害中小股东利益、内部交易、甚至是关联交易等严重行为。这些不公平的现象在中国大多数民营上市公司中通常会加剧，尤其是关键控制人损害公司价值并侵犯少数股东利益的事实可谓是屡见不鲜。正如大量的数据以及调查研究证明呈现，这往往与上市公司自身的治理结构和外部的社会体制环境紧密相连。因此本文将会探讨通过实施全面、多角度的不同措施，对上市公司的内部治理进行更深一层次的改革，以及对上市公司的外部环境进行更加全面的优化，从而使其完善相关治理体制以及提升公司的治理效率。关键词：上市公司；公司治理机制；佛山照明；案例研究II Research on Corporate Governance Mechanism of Listed Companies ——A case study based on Foshan Lighting Abstract Because of the low level of the firm in Chinese companies, there are still many shortcomings in the mechanism. And many serious delinquenent conducts in our listed companies. There are large quantities of serious behaviors in China's listed companies, for example, infringements on small and medium-sized shareholders, internal transactions and even related transactions. These unfair phenomena are more serious in most listed companies, especially the damage to the service value. The interests of small shareholders are often closely related to the corporate governance structure and the external environment. Therefore, this thesis thinks that increasing the efficiency of internal and external management, reforming the internal assessment and creating a consistent management system.
